1. Acceptance of Terms

By accessing or using the Services, you agree to be bound by these Terms and any policies referenced herein. If you do not agree to these Terms, do not access or use Trader AI Agent.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. By using the Services, you represent and warrant that you meet these requirements.

3. Services & Scope

Trader AI Agent provides software tooling, automation workflows, licensing systems, alerts, dashboards, educational resources, templates, and related support materials. The Services are provided for informational, educational, and software access purposes only.

Trader AI Agent is designed primarily for NinjaTrader-based workflows and may include AI-assisted validation, Telegram messaging integrations, risk-control workflows, and execution support features depending on the offer, configuration, and user environment.

You are responsible for making sure your use of the Services complies with your broker, trading platform, payment processor, prop firm rules, and all applicable laws and regulations.

4. No Financial Advice

Trader AI Agent does not provide investment, legal, tax, or financial advice. Nothing contained in the Services constitutes a recommendation or solicitation to buy, sell, or hold any security, futures contract, or financial instrument.

• The Services are software tools and educational resources only.
• You remain solely responsible for all entries, exits, settings, risk limits, and execution decisions.
• Examples, testimonials, simulations, and historical references are not guarantees of future performance.

5. Risk Disclosure

Trading involves substantial risk. Market volatility, slippage, latency, commissions, data interruptions, platform outages, broker issues, prop firm restrictions, API failures, or user error may materially impact results.

• Automated or semi-automated features may behave differently during fast or abnormal market conditions.
• AI-assisted or validation features do not guarantee winning trades or protected outcomes.
• Prop firm rule violations, account breaches, or losses remain your responsibility.
• You should only trade capital you can afford to lose.

6. Accounts, Access & Credentials

You may be required to create an account, provide identifying information, or use machine-based licensing or activation to access certain parts of the Services. You agree to provide accurate information and keep your credentials secure.

You are responsible for all activity under your account and for any person you allow to access your account, login, files, or licensed materials.

7. Plans, Billing & Payments

Trader AI Agent may offer one-time, promotional, or lifetime access plans. Plan features, pricing, licensing scope (including machine limits), and included benefits are shown at checkout and may be updated over time.

• Access applies only to the scope described at checkout.
• Any promotional offers, discount codes, bonuses, or extra access periods are governed by the terms shown at the time of purchase.
• License limits, such as machine limits, apply according to the activation rules tied to your purchase.

In the event of a payment dispute, failed payment, reversal, or chargeback, access may be restricted or suspended while the matter is reviewed.

8. Refunds & Cancellations

Refund eligibility, cancellation rights, trial terms, and related billing treatment are governed by the exact offer shown at checkout or by any separately posted refund policy that applies to your purchase.

If a plan includes any recurring component, cancellation stops future billing but does not automatically create a refund for prior charges unless explicitly stated.

9. License & Permitted Use

Subject to these Terms and your active plan, we grant you a limited, non-exclusive, non-transferable, revocable license to use Trader AI Agent for your own personal or internal business trading use.

• No reselling, sublicensing, renting, leasing, or redistributing the Services.
• No sharing files, accounts, machine activations, or member-only materials beyond the limits of your plan.
• No copying, publishing, or repackaging proprietary code, templates, videos, dashboards, training, or support materials.
• No reverse engineering, decompiling, modifying, or attempting to bypass licensing or access controls.

10. Intellectual Property

Trader AI Agent, including all software, code, dashboards, templates, branding, videos, documents, training content, messaging workflows, and related assets, is owned by Alpha Auto Trading or its licensors and protected by intellectual property laws.

11. Prohibited Conduct

• Using the Services for any unlawful, abusive, fraudulent, or deceptive purpose.
• Attempting to hack, scrape, overload, interfere with, or disrupt the Services.
• Sharing restricted content, access credentials, or paid materials without permission.
• Harassing, abusing, spamming, impersonating, or disrupting support staff, community members, or live sessions.
• Misrepresenting your results, affiliation, or ownership rights related to Trader AI Agent.

12. Third-Party Platforms & Services

The Services may rely on or reference third-party providers such as NinjaTrader, brokers, prop firms, OpenAI-related integrations, Telegram, payment processors, communication tools, and hosting services.

We are not responsible for third-party outages, policy changes, account restrictions, failed executions, API limitations, payment problems, or any losses caused by third-party systems or services.

13. Service Availability

We may modify, update, pause, or discontinue any portion of the Services at any time, including features, plan structures, training materials, integrations, support workflows, or access methods.

We do not guarantee uninterrupted availability, error-free operation, or compatibility with every device, broker, platform, or future software release.

14. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

We do not guarantee profits, funding success, payout eligibility, prop firm approval, uninterrupted service, AI approval accuracy, notification delivery, or any specific trading performance outcome.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALPHA AUTO TRADING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR TRADING CAPITAL ARISING OUT OF OR RELATED TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APPLICABLE SERVICES IN THE 3 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

16. Indemnification

You agree to indemnify, defend, and hold harmless Alpha Auto Trading, its affiliates, owners, employees, contractors, licensors, and representatives from and against any claims, damages, liabilities, costs, and expenses, including reasonable legal fees, arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights or applicable laws.

17. Suspension & Termination

We may suspend, restrict, or terminate access to the Services at any time if we believe, in our sole discretion, that you violated these Terms, engaged in abuse, fraud, chargeback misuse, unlawful conduct, unauthorized sharing, or misuse of the product or licensing system.

Upon termination, your license to use the Services ends immediately, and certain content, access rights, or plan privileges may be revoked.

18. Changes to These Terms

We may update these Terms from time to time. The “Effective” date above reflects the latest revision. Continued use of Trader AI Agent after changes become effective means you accept the revised Terms.

19. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws applicable to the business operations of Alpha Auto Trading, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall be resolved in the appropriate courts or legal forums having jurisdiction over the business, unless otherwise required by applicable law.
